Terms of Sale

These Terms of Sale govern your purchase of shipping containers, modifications, accessories, and related services from Sentinel Containers LLC ("Sentinel Containers," "we," "us," or "our"). They apply together with our Terms of Service and Privacy Policy. By placing an order, you agree to these Terms of Sale.

1. Quotes and order acceptance

Prices and quotes are estimates and are valid for 30 days unless stated otherwise. Your order is an offer to purchase. A contract forms only when we confirm acceptance of your order in writing (for example, by an order confirmation or invoice). We may decline or cancel any order — including after a confirmation — for reasons such as product unavailability, a pricing or description error, suspected fraud, or failed payment. If we cancel an order you have paid for, we will refund the amount charged.

2. Pricing and currency

All prices are in U.S. dollars (USD) and exclude taxes, delivery, permits, and site-preparation costs unless expressly stated. We work to keep pricing accurate but are not bound by typographical or pricing errors and may correct them before accepting your order.

3. Payment

We accept Visa, Mastercard, American Express, Discover, debit cards, and ACH/bank transfer. We do not accept cash on delivery, personal checks, or money orders through the website. Payment is processed through secure third-party processors; a temporary authorization hold may appear on your account, and your card is charged when your order is confirmed. Where a deposit is required, the balance is due before dispatch or delivery as stated on your invoice. You agree not to initiate an improper chargeback; we reserve the right to dispute chargebacks and to suspend or cancel orders we reasonably believe are fraudulent.

4. Sales and use tax

Applicable state and local sales tax is calculated based on the delivery destination and added at checkout or on your invoice, where we are required to collect it (that is, where we have tax nexus). Tax may apply to containers, modifications, delivery, accessories, and handling. Where we do not collect tax, you may be responsible for remitting use tax to your state. Tax-exempt buyers (for example, resellers or qualifying government entities) must provide a valid, state-issued exemption or resale certificate before we can process an order without tax. You remain responsible for the accuracy of any exemption you claim.

5. Products, descriptions, and availability

We sell new ("one-trip") and used containers and modified units. Used containers are sold based on their condition grade (for example, "cargo-worthy" or "wind- and watertight"); because they are pre-owned, they will show cosmetic wear such as surface rust, dents, and paint variation, which does not affect structural integrity unless stated. Photographs are illustrative; the unit you receive may vary in color and surface condition. Availability is not guaranteed until your order is accepted.

6. Title and risk of loss

Unless your invoice states otherwise, title and risk of loss pass to you upon delivery (or upon pickup, if you collect the unit), consistent with UCC Article 2 (§ 2-509). You should inspect the container at the time of delivery and note any visible damage or shortage on the delivery documentation (see our Returns & Refund Policy).

7. Delivery and returns

Delivery, lead times, site requirements, and risk during transit are governed by our Shipping & Delivery Policy. Returns, cancellations, and refunds are governed by our Returns & Refund Policy.

8. Warranty and disclaimer

Express limited warranty. New/one-trip and modified units may carry a limited warranty of one (1) year from the date of delivery, as described on your invoice or accompanying warranty document. Used and "as-is" units are sold without warranty except as required by law. Any written warranty we provide is offered consistent with the Magnuson-Moss Warranty Act.

Disclaimer of implied warranties. EXCEPT FOR ANY EXPRESS LIMITED WARRANTY WE PROVIDE IN WRITING, AND TO THE FULLEST EXTENT PERMITTED BY LAW, ALL PRODUCTS ARE SOLD "AS IS," AND WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. Some states do not allow the exclusion of certain implied warranties, so part of this disclaimer may not apply to you.

9. Limitation of liability

To the fullest extent permitted by law, our total liability arising out of or relating to a product or order will not exceed the amount you paid for that product, and we will not be liable for indirect, incidental, special, or consequential damages, including lost profits or business interruption.

10. Shipment timing

We will ship or deliver within the time stated at the point of sale or, if none is stated, within 30 days, consistent with the FTC Mail, Internet, or Telephone Order Merchandise Rule. If we cannot meet that time, we will notify you and offer to revise the date or cancel for a full refund.

11. Force majeure

We are not liable for delays or failures to perform caused by events beyond our reasonable control, including weather, carrier or supply-chain disruption, labor actions, and government action.

12. Governing law

These Terms of Sale are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules, and are subject to the dispute-resolution and venue provisions of our Terms of Service.
